If you do not agree to these Terms, you must not access or use the Service. Your use of the Service is also subject to applicable law. BUSY may be accessed internationally, and you are responsible for ensuring that your use of BUSY complies with the laws applicable to you and your business. Certain jurisdictions may provide you with mandatory privacy, consumer, or contractual rights that remain applicable notwithstanding provisions of these Terms.

  • Google Calendar integration (when connected)

We may modify, add, or remove features at any time. We do not guarantee that every feature will be permanently available or unchanged.

3. Eligibility & Authority

You must be of legal age to form a binding contract in your jurisdiction to use BUSY. If you are using BUSY on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and you accept these Terms on behalf of that organization.

4. Accounts & Security

You are responsible for:

  • Providing accurate and complete account information;
  • Protecting your account credentials and keeping them confidential;
  • All activity that occurs under your account; and
  • Notifying us promptly of any suspected or actual unauthorized access to your account.

We will never ask you for your password through our support channels. You should never share your password with anyone.

5. Business Data & Customer Data

You retain appropriate rights in the business and customer information you provide to BUSY. You are responsible for:

  • Having the appropriate legal authority and basis to upload and process information about your customers, employees, and contacts;
  • The accuracy and lawfulness of the data you enter;
  • Complying with applicable data protection laws with respect to the information you process through BUSY.

BUSY receives the limited rights necessary to host, process, and display your information in order to provide the Service to you. We do not claim ownership of your business data or customer data.

6. Acceptable Use

You agree not to:

  • Use BUSY for any unlawful purpose;
  • Attempt to gain unauthorized access to other users' data, accounts, or systems;
  • Conduct security testing or probing against the Service or other users without authorization;
  • Introduce malware, viruses, or malicious code;
  • Abuse, overload, or disrupt the Service infrastructure;
  • Attempt to bypass tenant isolation or access controls;
  • Scrape, harvest, or extract data from the Service in an unauthorized manner;
  • Impersonate another person or entity;
  • Engage in fraudulent activity;
  • Infringe the intellectual property or other rights of others; or
  • Use BUSY to violate the privacy rights of others.

7. AI Features

The Ask BUSY feature uses automated AI systems to generate responses. You acknowledge that AI output:

  • May be incomplete, contain errors, or misinterpret context;
  • May include inaccurate recommendations or analysis;
  • Is generated based on the data available in your BUSY account at the time of the question;
  • Does not constitute legal, accounting, tax, investment, or professional financial advice.

You remain responsible for your business decisions, including any decisions made in reliance on AI-generated output. We do not guarantee specific business results from AI recommendations.

8. Financial Information Disclaimer

BUSY tracks operational business information including sales, payments, outstanding balances, expenses, revenue, and gross profit. BUSY is not:

  • An accounting firm, accountant, or accounting system of record;
  • A bank or financial institution;
  • A payment processor or payment gateway;
  • A tax adviser, tax filing, or tax preparation service;
  • A lawyer or legal adviser;
  • A financial adviser or investment adviser; or
  • Any other licensed professional adviser.

BUSY's calculations, reports, AI-generated responses, and recommendations are informational tools. You remain responsible for verifying important business information, maintaining legally required records, tax filings, accounting decisions, financial decisions, legal compliance, and obtaining professional advice where appropriate. AI-generated responses may occasionally be incomplete, inaccurate, or inappropriate, and you should independently verify important decisions. Financial figures shown in BUSY are based on the data you enter and may not reflect your complete financial position.

9. Third-Party Services

BUSY may integrate with or rely on third-party services, including Google Calendar, AI providers, authentication providers, and infrastructure providers. We are not responsible for the availability, accuracy, or conduct of third-party services, to the extent permitted by applicable law. Third-party services are governed by their own terms and policies, which you should review.

10. Fees & Subscriptions

BUSY offers a 14-day free trial followed by Standard at US$39 per month or Pro at US$69 per month, or an agreed Enterprise quote. The following terms apply:

  • No subscription charge is due before the applicable free-trial period ends.
  • If you add a payment method and establish a subscription during the trial, paid billing is scheduled to begin after the trial ends and the subscription then renews monthly until you cancel.
  • Subscriptions are billed monthly in advance once paid billing begins.
  • Subscriptions automatically renew each billing period until you cancel.
  • Applicable taxes may be added to your subscription fee where legally required.
  • You are responsible for maintaining a valid payment method for the duration of your subscription.
  • BUSY may change its pricing in the future. Where required by applicable law, we will provide reasonable notice of material pricing changes before those changes apply to a subsequent renewal.
  • You may cancel your subscription at any time. If you cancel before paid billing begins, no scheduled subscription charge will be made. After paid billing begins, cancellation prevents future renewal charges but does not, unless otherwise required by applicable law, retroactively refund amounts already paid.
  • Unless otherwise required by applicable law, access to the Service ordinarily continues through the end of the paid billing period after cancellation.
  • Statutory refund and cancellation rights applicable in your jurisdiction remain unaffected by these Terms.

If you subscribe to a paid plan, you agree to pay the applicable fees. Fees will be communicated clearly before you are charged.

11. Intellectual Property

The BUSY software, platform design, brand, and proprietary technology are owned by Ask Busy, LLC and are protected by applicable intellectual property laws. These Terms do not grant you any rights to the BUSY software, brand, or platform beyond the limited right to use the Service in accordance with these Terms. You retain all rights in the business and customer data you upload to BUSY.

12. Feedback

If you voluntarily submit product feedback, suggestions, or ideas to BUSY, we may use that feedback to improve the platform without any obligation to you. This does not transfer ownership of your business data or customer data.

13. Service Availability & Changes

We strive to maintain BUSY's availability but cannot guarantee uninterrupted or error-free operation. We may perform maintenance, update features, modify functionality, or temporarily suspend the Service. We will use reasonable efforts to minimize disruption, but we do not guarantee that the Service will always be available or that it will not experience interruptions.

14. Suspension & Termination

We may suspend or terminate access to the Service if:

  • You violate these Terms in a serious or repeated manner;
  • You pose a security threat to the Service or other users;
  • You engage in fraud or unlawful activity;
  • You fail to pay applicable fees where a paid plan is in effect; or
  • Where otherwise permitted by applicable law.

You may stop using BUSY at any time. If you wish to terminate your account, please contact us using the information in Section 22.

15. Data After Termination

Upon termination of your account, we may retain your data for a period consistent with our operational needs, legal obligations, and dispute resolution requirements, as described in our Privacy Policy. We do not commit to a specific deletion timeframe. You should export any data you wish to retain before terminating your account, as access to data after termination is not guaranteed.

16. Disclaimers

To the extent permitted by applicable law, BUSY is provided on an “as is” and “as available” basis. We make no warranties or representations, express or implied, about the Service, including:

  • The accuracy, reliability, or completeness of information or calculations;
  • The suitability of the Service for any particular purpose;
  • The availability or uninterrupted operation of the Service;
  • The absence of errors, viruses, or other harmful components.

This section does not exclude or limit warranties that cannot be excluded or limited under applicable law.

17. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Ask Busy, LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, business opportunities, goodwill, or data, arising out of or related to your use of the Service or these Terms.

To the maximum extent permitted by applicable law, the total aggregate liability of Ask Busy, LLC arising out of or relating to the Service or these Terms will not exceed the greater of: (a) US$100; or (b) the total subscription fees actually paid by you to BUSY during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where applicable law prohibits such exclusion or limitation. Nothing in these Terms deprives a consumer of mandatory rights or protections that cannot legally be waived under the laws applicable to that consumer. The enforceability of this clause may vary by jurisdiction.

18. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Ask Busy, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of or related to:

  • Your unlawful use of the Service;
  • Your material violation of these Terms;
  • Customer-provided content or data that infringes the rights of third parties;
  • Your misuse of another person's personal information;
  • Violation of applicable law caused by your conduct; or
  • Unauthorized or fraudulent use of your account attributable to your acts or omissions.

This indemnification obligation does not apply to the extent a claim arises from Ask Busy, LLC's own fraud, willful misconduct, or other liability that cannot legally be shifted to you under applicable law.

19. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service will be governed by the laws of Jamaica, without regard to its conflict of laws principles, except where mandatory laws applicable to you provide otherwise. BUSY may be offered internationally, and nothing in these Terms deprives a consumer of mandatory rights or protections that cannot legally be waived under the laws applicable to that consumer.

20. Dispute Resolution

Step 1 — Informal Resolution

Before commencing formal proceedings, you and Ask Busy, LLC should attempt in good faith to resolve the dispute informally. You may initiate this process by contacting us at support@askbusy.com. Your notice should reasonably describe the issue, relevant account information, and the resolution you are seeking. The parties will allow approximately 30 days for good-faith informal resolution.

Step 2 — Formal Proceedings

If the dispute cannot be resolved informally, either party may pursue available legal remedies through courts of competent jurisdiction in Jamaica, subject to applicable law. Nothing in this section prohibits a party from seeking urgent injunctive or equitable relief where appropriate, or prevents users from pursuing remedies that applicable law says cannot be contractually restricted.

21. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, provide notice within the Service or through other communication channels. Your continued use of BUSY after a change takes effect constitutes your acceptance of the updated Terms.
